Terms and Conditions

By purchasing the item(s) expressed in any Nisene Technology Group, Inc. (henceforth “NTG) quotation, you are agreeing to the terms set forth in this agreement. NTG will not accept purchase orders whose terms do not comply with those henceforth.

Ordering

All purchase orders for decapsulation equipment must be submitted in a PDF or similar file type to officemanager@nisene.com. All credit card orders are subject to a service charge.

Spare parts and labor are purchased from our online store, shop.nisene.com, with payment being made via major credit card and/or PayPal.

Payment Terms

System Purchases:

Payment terms are strict Net-30 from date of invoice. Any exceptions must be agreed upon in writing with the NTG accounting team prior to purchase order submission.

Spare Parts, Labor, etc. (non-system purchases):

Payment for all spare parts, accessory kits, etch fixtures, labor, etc. (anything that is not a decapsulation system) must be made at our online store, shop.nisene.com. Upfront payment must be made with any major credit card or PayPal.

Shipping

Shipping of all NTG products is borne of the customer. Acceptable incoterms that meet the requirement for this include Ex-works and FOB. Under no circumstance shall NTG be responsible for any shipping charges, including but not limited to: courier fees, warehouse storage charges, customs and duties, and insurance. When placing the purchase order, please include all shipping information, including but not limited to: shipping contact person name, phone number, and e-mail address; preferred courier, account number, and speed at which the order is to be shipped; shipping address; and any other pertinent information that would aid in the efficient transportation and delivery of purchased goods. NTG ships all of its products from Watsonville, California, United States of America.

Please note that NTG insures all of its shipments for 100% of the value of the item being shipped.

Return Policy

In the event of an order cancellation due to “buyer’s remorse,” lack of funding, or any other reason, a 20% restocking fee will be charged to the customer — payable immediately.

Product Acceptance

All customers of NTG products are entitled to a system acceptance period of 15 days from date of invoice. Failure to report a non-acceptance within that time period will result in the forfeiture of rights to not accept. Please note that payment terms of Net-30 from date of invoice still apply, regardless of when the system was accepted.

Installation and/or Training

Installation and training, if purchased, must be preceded by completion of the facility preparation requirements as expressed in the facilities requirements document provided by NTG. Installation and training will not be scheduled until all requirements have been met, signed-off by a manager the facility, and the checklist completed and e-mailed back to the NTG technician performing the installation.

Document Signing

Nisene has made the technological leap from scanned documents with handwritten signatures to digital signatures for all of its signed documentation. You might be curious why this switch is being made, when you’ve been accustomed to signing documents all these years and then scanning and sending them that way. The switch is being made because digital signatures with authenticated IDs are the absolute safest way to sign and transmit a document electronically. They require a password to apply to a document, and then once the document has a digital signature applied there is a special encryption that goes along with that which confirms the authenticity of the signer. This as opposed to a handwritten signature, which can easily be forged and has no true method of verification. This is being done for the security of all parties involved.

You may have a digital signature prepared already. If you do, the transition will be seamless. If you do not, there will be a little bit of a learning curve; however, it is very easy to implement. To create your own digital ID using Adobe, see this article:

Note that your experience in creating a digital ID may differ from this, as you might have a different software preference. All digital IDs and signatures share the same security measures by definition, so as long as you have some form of that on your computer for signing documents, that is fine. One thing that you may wish to do as you become more proficient with digital signatures is to use an embedded signature graphic with each signature. This gives your digital signature that “authentic look” that harkens back to the traditional signature with a pen. That has a really nice look to it, and every Nisene employee has that for our documentation signing.

All forms that require signatures that originate from Nisene will have a signature field prepared for your easy signature application.

Warranty *

Comprehensive

Basic two-year limited warranty period begins as of date of shipment and covers all required parts plus factory labor (subject to usual limitations for abuse and fair wear and tear). All repairs are performed at Nisene Technology Group’s factory service facility. All labor and parts other than consumable are included in the warranty. The customer pays for shipping of their system both incoming and outgoing.

All warranties are non-transferable.

Pump

The patented micro-meeting pneumo-electric pump assembly is warranted for five years from date of shipment or 250 liters – whichever comes first.

Heat Exchanger

The heat exchanger assembly is warranted for three years from date of shipment.

Spares, Accessories, and Repairs

For products repaired by Nisene under warranty, all replaced parts and all labor are warranted for a period of 90 days from the date of shipment from Nisene.

Spare parts shipped from Nisene and installed by the end user are warranted against defective materials and workmanship for a period of 30 days from date of shipment.

Customers assume responsibility for the safe and proper operation of all Products. All warranties will be void if:

  • Adjustment, repair or parts replacement is required due to accident, unusual mechanical or physical stress, neglect, misuse, failure of equipment not furnished by manufacturer, operation of the product other than in accordance with Manufacturer’s specifications or causes other than ordinary operation; or
  • Product has been modified by representative of representative’s customer; or
  • Original serial number or warranty decals (if applicable) have been removed or altered.

Nisene reserves the right to determine if equipment has been misused. In addition to the foregoing, any applicable warranty shall not apply if prerequisite product(s), as may be specified in the price list, product specifications or contracts is/are missing.

Hold Harmless and Liability

NTG shall not be liable to customer or any third party for any indirect, consequential, incidental, special, exemplary or punitive damages (including, but not limited to, damages for lost profits, lost revenues, or cost of purchasing replacement products/services) arising out of or relating to products and/or the services provided by NTG. Additionally, NTG shall not be liable to customer for any actual damages in excess of the aggregate amount NTG has prior to such time collected from customer with respect to products and/or services provided by NTG. Furthermore, in no event shall NTG be liable to the customer, either in contract or in tort, for unauthorized use of or access to customer or NTG equipment.

NTG solely warrants that it will perform the work and services contemplated hereunder in a professional and workmanlike manner. NTG disclaims all other warranties, express or implied including the implied warranty of merchantability and the implied warranty of fitness for a particular purpose.

Customer recognizes there are certain inherit risks associated with the products and services provided by NTG, and customer assumes full responsibility for personal injury to any of its employees or agents and third parties. Customer releases and discharges NTG for any injury, loss or damage arising out of NTG’s products and/or the performance of the services anticipated hereunder. Customer agrees to indemnify and hold NTG, its officers, directors, subsidiaries, parent company, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by it or any third party, due to or arising out of NTG’s products and/or performance of the services provided by NTG.
